1. Acceptance of Terms
These Terms of Service ("Terms") govern your use of the Complete Point of Sale software, hardware, and the proprietary MITER System framework (Management, Inventory, Table, and Employee Routing) provided by Believe CPS ("Company," "we," "our," or "us"). By deploying our hardware or subscribing to our SaaS modules, you agree to these Terms.
2. Provision of Service
We grant you a non-exclusive, non-transferable, revocable license to access and use the MITER System exclusively for managing restaurant operations at the locations specified in your Enterprise Plan.
- The MITER Core server logic remains the exclusive intellectual property of Believe CPS.
- You may not reverse engineer, decompile, or attempt to extract the underlying routing or inventory algorithms of the MITER System.
3. Service Level Agreement (SLA)
Believe CPS is committed to a 99.99% uptime guarantee for the cloud-hosted elements of the MITER Core. In the event of an external network failure, the Complete Point of Sale hardware is designed to automatically fall back to Local Area Network (LAN) synchronization to prevent operational downtime in your kitchen.
If cloud uptime falls below 99.99% in a given calendar month, eligible Enterprise clients will receive a service credit equal to 10% of their monthly software fee upon written request to support@believe-cps.com.
4. Billing and Subscriptions
Software modules (e.g., the MITER Kitchen Display System) are billed on a monthly or annual SaaS basis. Fees are non-refundable except as explicitly stated in our Cancellation Policy. Hardware purchases are billed as one-time fees prior to shipment.
5. User Responsibilities
You are responsible for:
- Maintaining the security of your MITER System administrative credentials.
- Ensuring your network infrastructure meets the minimum specifications provided during your deployment consultation.
- Complying with all local laws, including labor laws regarding employee scheduling when using our Employee Routing module.
6. Limitation of Liability
To the maximum extent permitted by US law, Believe CPS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from your use of the MITER System.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Any legal action or proceeding related to these Terms shall be instituted exclusively in a state or federal court in Chicago, Illinois.
